Incorporating a Business Enterprise & Legal Requirements

It is a legal requirement that all business enterprises in Nigeria must be registered with the Registrar-General of the Corporate Affairs Commission (Registrar of Companies). Foreign investors wishing to establish business operations in Nigeria must take all necessary steps to locally incorporate their Nigerian branch or subsidiary.

Business activities in Nigeria can be conducted through various legal structures, including:

  • Private or Public Limited Liability Company
  • Unlimited Liability Company
  • Company Limited by Guarantee
  • Foreign Company (branch or subsidiary of a foreign company)
  • Partnership/Firm
  • Sole Proprietorship
  • Incorporated Trustees
  • Representative Office

Notable Exemptions to Local Incorporation Requirements

A foreign company may apply for exemption from local incorporation under Section 56 of the Companies Act by petitioning the National Council of Ministers. Exemptions may be granted if the foreign company falls into one of the following categories:

  • Foreign companies invited by or approved by the Federal Government of Nigeria to execute a specific project.
  • Foreign companies executing a specific loan project on behalf of a donor country or international organization.
  • Foreign government-owned companies engaged solely in export promotion activities.
  • Engineering consultants and technical experts contracted for specialist projects approved by the Federal Government or its agencies.

Applications for exemption from disclosing certain applicant details must be submitted to the Secretary of the Government of the Federation (SGF). If approved, exemptions are granted under terms and conditions set by the National Council of Ministers.

Representative Offices

Foreign companies may establish representative offices in Nigeria, which serve solely as promotional and liaison offices. Such offices must be registered with the Corporate Affairs Commission.

Investment Incentives and Guarantees

The Federal Government offers tax holidays to pioneer companies—those engaged in export production, establishing new industries, or expanding output in sectors critical to the economy. Additionally, non-pioneer firms receive various non-tax incentives. The government also provides a range of general and industry-specific incentives to support business growth.

General Incentives

  • A debit-conversion program enables foreign companies to access an enhanced exchange rate when injecting new equity into approved production projects, as authorized by the Central Bank of Nigeria (CBN).
  • Small and medium-sized enterprises (SMEs) can obtain loans from the Bank of Industry and other development banks.
  • The Raw Materials Research and Development Council offers grants for research and development aimed at increasing the use of Nigerian raw materials in local industries.

Industry-Specific Incentives

  • Agro-industrial ventures enjoy a five-year tax holiday, access to an agricultural credit scheme guaranteed by the CBN, subsidized fertilizers, and zero import duties on raw materials used in livestock feed production.

Requirements for Non-Impediment to Marry

Requirements

  1. Proof of Divorce (Decree Absolute), if previously married
  2. Photocopy of Nigerian Passport
  3. Notarised Declaration of Non-impediment to marry
  4. Payment of $24 service charge, and $18 Processing Fee payable to the Nigerian High Commission, Kinshasa, in Postal Order
  5. Proof of impending marriage
  6. Letters of non-impediment are issued to Nigerian nationals seeking to either marry for the first time in Britain or to those who are seeking to remarry.
  7. For those who have never been married, proof of permission to marry from the Home Office will be required with the rest of the requirements stated above.

In order to process your application, we will require that you present to us either by post through registered mail and a self-addressed registered envelope or in person, the following documents:

  1. 3 copies of your Nigerian passport with detailed data
  2. 3 copies of the pages containing your current visa
  3. 3 passport-sized photographs
  4. 3 copies of the data form (filled)
  5. Payment of $18 for the document, and $35  processing fee payable to Nigeria High Commission, Kinshasa, in Postal Order

Citizenship Renunciation

Procedure for Renunciation of Nigerian Citizenship
Any prospective applicant wishing to renounce his/her citizenship is hereby informed that the authority to approve renunciation or restore Nigerian citizenship is prerogative of the President of the Federal Republic of Nigeria. This is clearly stated in Chapter III, 1-2 of the 1999 Constitution of the Federal Republic of Nigeria. It should be noted that the authority referred to in this paragraph is not transferable; hence all applicants should go back home and process their requests.

Document Authentication
For authentication of Marriage, Birth and Death Certificates from Nigeria, service is charged at $40 per item, and a $40 processing fee payable to Nigeria High Commission in Kinshasa in a Postal Order. However, documents from Nigeria for authentication should undergo authentication in the Ministry of Foreign Affairs Abuja before submitting such in the High Commission for final authentication.
